QuoLark is operated by QuoLark LLC.
These Terms of Use (“Terms”) govern your access to and use of QuoLark, including our website, platform, services, features, content, communications, and related tools. By accessing or using QuoLark, you agree to these Terms. If you do not agree, please do not use the platform.
1. Platform Role
QuoLark is an online marketplace platform that helps connect users who need services (“Clients”) with users who may offer services (“Providers”).
QuoLark does not provide, perform, supervise, control, manage, direct, guarantee, or endorse any services listed, requested, offered, accepted, scheduled, or performed through the platform. QuoLark is not a party to any agreement, arrangement, contract, payment, dispute, or transaction between Clients and Providers.
Clients and Providers are solely responsible for communicating with each other, agreeing on job details, pricing, timing, scope of work, materials, safety requirements, payment terms, cancellations, refunds, and any other terms related to the requested or provided services.
2. No Employment, Agency, Partnership, or Contractor Relationship
Providers who use QuoLark are independent users of the platform. QuoLark does not employ Providers and does not create any employment, contractor, agency, partnership, joint venture, franchise, or representative relationship with any user.
Providers are not authorized to act on behalf of QuoLark, bind QuoLark to any agreement, make promises for QuoLark, or represent that they are employees, agents, contractors, or representatives of QuoLark.
3. No Guarantee of Provider Qualifications, Licenses, Insurance, or Work Quality
QuoLark does not guarantee, verify, warrant, or represent that any Provider is qualified, licensed, insured, bonded, experienced, reliable, safe, legally permitted, or suitable to perform any service.
Clients are solely responsible for evaluating Providers before hiring or accepting an offer. This may include checking licenses, permits, insurance, background, experience, references, reviews, pricing, work history, and any other information the Client considers important.
QuoLark does not guarantee the quality, safety, legality, completion, timing, accuracy, pricing, or outcome of any work performed by Providers.
4. User Responsibility
Users are solely responsible for their own actions, decisions, communications, agreements, content, and conduct on and off the platform.
Users must use good judgment and take appropriate precautions when communicating, meeting, hiring, working with, paying, or accepting services from another user.
QuoLark is not responsible for user conduct, job performance, property damage, injuries, losses, missed appointments, unpaid amounts, cancellations, refunds, disputes, or any other issues arising between users.
5. Accounts and Accurate Information
You may need an account to use certain features of QuoLark. You agree to provide accurate, current, and complete information and to keep your account information updated.
You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. You must notify QuoLark if you believe your account has been accessed without authorization.
You may not create fake accounts, impersonate another person or business, provide misleading information, or use another user's account without permission.
6. Client Responsibilities
Clients are responsible for the jobs they post and the Providers they choose to contact, hire, or work with.
Clients agree that they will:
- Provide accurate and lawful job information;
- Clearly describe the requested service, location, timing, budget, and expectations;
- Review Provider information before accepting an offer or starting work;
- Confirm whether a Provider has any required license, permit, insurance, or qualification;
- Agree directly with the Provider on pricing, payment, scope of work, timing, materials, and other job terms;
- Communicate respectfully and honestly;
- Avoid posting illegal, unsafe, discriminatory, misleading, abusive, or fraudulent job requests.
7. Provider Responsibilities
Providers are responsible for the services they offer, the information they provide, and the work they perform.
Providers agree that they will:
- Provide accurate and truthful profile, service, pricing, and experience information;
- Only offer services they are legally allowed and qualified to perform;
- Maintain any required licenses, permits, insurance, certifications, or approvals;
- Comply with applicable laws, regulations, safety rules, and industry standards;
- Communicate honestly and professionally with Clients;
- Perform work with reasonable care if they agree to perform a job;
- Avoid misleading claims, fake reviews, false qualifications, unsafe services, or fraudulent behavior.
8. Payments Between Users
Unless QuoLark clearly states otherwise in writing, QuoLark does not process, collect, hold, guarantee, release, refund, or control payments between Clients and Providers.
Clients and Providers are solely responsible for agreeing on payment terms, amounts, timing, payment methods, invoices, deposits, refunds, taxes, chargebacks, and any other payment-related matters.
QuoLark is not responsible for unpaid amounts, overpayments, refunds, chargebacks, payment delays, payment disputes, tax obligations, invoices, receipts, or any other financial issue between users.
9. User Content
Users may post, upload, submit, or share content through the platform, including job posts, profiles, photos, messages, offers, reviews, reports, feedback, and other materials (“User Content”).
You are responsible for your User Content. You represent that you have the right to submit it and that it does not violate these Terms, applicable law, or the rights of others.
You grant QuoLark a non-exclusive, worldwide, royalty-free license to use, host, store, display, reproduce, resize, modify, publish, and process User Content as needed to operate, improve, promote, protect, and support the platform.
QuoLark may remove, restrict, hide, or review User Content if we believe it violates these Terms, creates risk, causes harm, may be unlawful, or may negatively affect the platform or other users.
10. Reviews and Ratings
Reviews and ratings must be honest, accurate, and based on real experiences between users.
Users may not post fake reviews, manipulate ratings, offer payment or incentives for dishonest reviews, threaten users over reviews, or post abusive, discriminatory, false, misleading, or irrelevant review content.
QuoLark may remove or restrict reviews that we believe violate these Terms, platform rules, or applicable law.
11. Prohibited Uses
You may not use QuoLark to:
- Violate any law, regulation, or third-party right;
- Post illegal, unsafe, fraudulent, misleading, abusive, discriminatory, hateful, threatening, harassing, explicit, or harmful content;
- Offer or request services that are illegal, dangerous, exploitative, or prohibited by the platform;
- Impersonate another person or business;
- Create fake profiles, fake jobs, fake offers, or fake reviews;
- Harass, threaten, abuse, spam, or exploit other users;
- Upload malicious code, viruses, or harmful files;
- Attempt to access accounts, systems, data, or areas of the platform without authorization;
- Scrape, copy, harvest, or misuse platform data;
- Interfere with the security, operation, performance, or integrity of the platform;
- Use the platform for scams, fraud, money laundering, or deceptive activity;
- Circumvent platform rules, suspensions, restrictions, or security measures.
12. Reports, Feedback, and Moderation
Users may report jobs, profiles, reviews, messages, content, or behavior that may violate these Terms or create safety, legal, or platform concerns.
QuoLark may review reports, feedback, jobs, profiles, messages, photos, reviews, and other content when needed to operate the platform, provide support, investigate issues, enforce these Terms, or protect users and the platform.
QuoLark may remove content, restrict features, suspend accounts, terminate accounts, block access, or take other action at our discretion if we believe a user has violated these Terms, created risk, caused harm, misused the platform, or acted in a way that may negatively affect QuoLark or other users.
13. No Guarantee of Availability, Jobs, Offers, or Results
QuoLark does not guarantee that:
- Clients will receive offers;
- Providers will receive jobs;
- Users will find suitable matches;
- Any job will be completed;
- Any Provider will perform satisfactory work;
- Any Client will pay as agreed;
- The platform will be available without interruption or error;
- Any information on the platform will always be accurate, complete, or current.
Users understand that they use the platform at their own discretion and risk.
14. Third-Party Services and Links
QuoLark may rely on third-party services for hosting, authentication, storage, email, SMS verification, maps, address search, analytics, security, and other platform functions.
The platform may also contain links to third-party websites or services. QuoLark is not responsible for third-party services, websites, content, policies, availability, security, or practices.
15. Intellectual Property
QuoLark and its platform design, name, logo, branding, software, features, content, and related materials are owned by QuoLark or its licensors and are protected by applicable intellectual property laws.
You may not copy, modify, distribute, sell, lease, reverse engineer, or misuse any part of the platform unless permitted by law or authorized by QuoLark in writing.
16. Disclaimer of Warranties
QuoLark is provided on an “as is” and “as available” basis.
To the fullest extent permitted by law, QuoLark disclaims all warranties, whether express, implied, statutory, or otherwise, including warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, availability, reliability, security, and suitability.
QuoLark does not warrant or guarantee any Provider, Client, service, job, offer, payment, result, communication, review, rating, content, or user conduct.
17. Limitation of Liability
To the fullest extent permitted by law, QuoLark and its owners, officers, employees, contractors, representatives, affiliates, partners, service providers, and agents will not be liable for any direct, indirect, incidental, special, consequential, exemplary, punitive, or other damages, losses, costs, expenses, or claims arising from or related to:
- Your use of or inability to use the platform;
- Jobs, services, offers, payments, or agreements between users;
- Provider conduct, qualifications, licenses, insurance, work quality, or performance;
- Client conduct, payments, job descriptions, or disputes;
- Property damage, personal injury, financial loss, emotional distress, missed appointments, cancellations, refunds, or unpaid amounts;
- User Content, reviews, messages, reports, or communications;
- Unauthorized access, data loss, technical issues, service interruptions, or third-party services;
- Any dispute or interaction between users.
This limitation applies even if QuoLark has been advised of the possibility of such damages.
18. Indemnification
You agree to defend, indemnify, and hold harmless QuoLark and its owners, officers, employees, contractors, representatives, affiliates, partners, service providers, and agents from and against any claims, damages, losses, liabilities, costs, and expenses, including reasonable attorneys' fees, arising from or related to:
- Your use of the platform;
- Your User Content;
- Your services, jobs, offers, payments, communications, or agreements with another user;
- Your violation of these Terms;
- Your violation of applicable law or third-party rights;
- Your negligence, misconduct, fraud, or unsafe activity.
19. Account Suspension or Termination
QuoLark may restrict, suspend, deactivate, or terminate your account or access to the platform at any time if we believe you violated these Terms, created risk, caused harm, misused the platform, or acted in a way that may negatively affect QuoLark or other users.
QuoLark may also remove or restrict content, limit platform features, or prevent future access where appropriate.
20. Changes to the Platform
QuoLark may update, modify, suspend, limit, or discontinue any part of the platform at any time, with or without notice.
We are not liable for any changes, interruptions, suspensions, or discontinuation of the platform or any feature.
21. Changes to These Terms
We may update these Terms from time to time. If we make changes, we will update the effective date above. Continued use of the platform after changes are posted means you accept the updated Terms.
22. Governing Law
These Terms are governed by the laws of the State of New Jersey, without regard to conflict of law principles.
Any disputes will be handled in the state or federal courts located in New Jersey, unless applicable law requires otherwise.
